The closing of the Dialog acquisition, following the landmark acquisitions of Intersil and IDT, strengthens Renesas as a leading provider of embedded solutions. Renesas will expand its market presence with an even broader product portfolio by combining Dialog's low-power mixed-signal products, its expertise in low-power Wi-Fi and Bluetooth® connectivity, flash memory, battery and power management, as well as its long-standing experience and deep knowledge in delivering configurable mixed-signal (CMIC) solutions, and much more.
Renesas anticipates revenue growth of approximately $200 million (non-GAAP operating income, approximately 21 billion yen) through cross-selling and the offering of winning combinations. The combined company also expects cost savings from operational efficiencies to have a financial impact of approximately $125 million (non-GAAP operating income per year on a run-through basis intended to be achieved three years after closing, approximately 13.1 billion yen). Renesas expects the acquisition to increase Renesas' EBITDA and gross and operating margins (in each case, on a non-GAAP basis) after closing, in line with previous guidance.
With the closing of the transaction, Dialog becomes a subsidiary of Renesas. Approximately 2,300 Dialog employees have joined the Renesas Group, and the two companies will work together to integrate their businesses.
